BONITA NUTTALL'S TERMS OF USE

  1. Introduction
    Welcome to Bonita Nuttall’s website. By accessing or using our services, you agree to be bound by the following terms and conditions. These terms apply to all services offered, including Coaching and Mentoring, Training and Facilitation, Creative Direction, Professional Speaking, and MC services. If you do not agree with any part of these terms, please do not use our services.

     

  2. Definitions

    1. ​“Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine readable or other form concerning the business, clients, suppliers, finances and other areas of the other party’s business or products, including, without limitation, the Program Materials, but does not include information in the public domain other than through the default of the party disclosing the information, information required to be disclosed by any court or regulatory authority, or any information already in the possession or control of the disclosing party.​

    2. “Program Materials” means the information provided by Bonita Nuttall to accompany a program provided as part of the Services in hard copy or electronic form.​

    3. “Fees” means the fees paid by you to Bonita Nuttall for the Services.​

    4. “Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or relating to Confidential Information and other intellectual property rights (registered or unregistered) throughout the world.​

    5. “Online Program” means the delivery by us of an online program pursuant to which you learn program materials remotely.​

    6. “Services” means the provision of any of our Programs and/or the Taught Program and/or the Program Materials or Products together with such other services as agreed from time to time and purchased by you through the Website, email, by telephone, or any means available. ​

    7. “Taught Program” means a course taught by us, whether in a classroom setting to which you attend in person, or online.​

    8. “Website” means www.bonitanuttall.com and www.out-standing-presenters.thinkific.com​

    9. “You” means the individual purchasing the Services.​
       

  3. The Services

    1. A description of the Services are available on our Website.  We will provide the Services with reasonable care and skill in accordance with the description set out on the Website.

    2. We reserve the right to vary or withdraw any of the Services described on the Website without notice.

    3. We expect you to confirm that the Services you are purchasing will meet your needs.  We do not make any guarantee to you that you will obtain a particular result, professional qualification or employment opportunity from your purchase and completion of any of the Services.

  4. Ordering Services

    1. Purchasing Services via the Website

      1. In order to purchase any of the Services on-line you must register for an account with us via the Website.  If you already have an account with us you can log into your account using your user name and password.

    2. Purchasing Services via the Telephone 

      1. To purchase a Service over the telephone please call +61499233193. You do not need to have registered for an account with us to purchase any of the Services over the telephone. You must, however, register for an account with us to access your program online.

      2. When you place an order for a Service via the Website, by email, or telephone you are offering to purchase the Services on these terms and conditions.  Bonita Nuttall reserves the right to cancel or decline your order or any part of your order at any time until it has been confirmed in accordance with clause 5 below.

      3. Following receipt by us of your order for Services via the Website, email, or on the telephone we will contact you confirming receipt of your order. 

    3. A legally binding agreement between us and you shall come into existence when we have:

      1. accepted your offer to purchase Services from us by sending you an email confirming the purchase; and

      2. received payment of the relevant Fees from you in accordance with clause 5 below. 

      3. Where your order consists of multiple Online Programs or multiple Taught Programs, each individual program will be treated by us as a separate offer to purchase.  Acceptance of your offer to buy one or more programs will not be acceptance by us of your offer to purchase any other programs which make up your order.

  5. Cancellation and Variation

    1. Subject to clause 5.2 below, where we have accepted / confirmed the Services being purchased by you and formed a legally binding agreement with you in accordance with clause 4.5 above, then you are permitted within 7 working days starting on the day after the date we have concluded our agreement in accordance with clause 3.4, to cancel your purchase of the Services. 

    2. If you have purchased an Online Program and have already accessed, downloaded all or part of the Online Program and/or started to use that Online Program then you shall have no right to cancel your order.

    3. Notwithstanding clause 5.1 there is no other right to cancel or vary your purchase of Services and any other cancellation and / or variation of program dates will be at the entire discretion of Bonita Nuttall.

  6. Fees

    1. The Fees for the Services shall be as set out on the Website or as told to you over the telephone, or email at the time you placed an order for them. 

    2. Unless otherwise specified at the time you purchase the Services the Fees are exclusive of GST or other local taxes, the cost of some Program Materials and any delivery costs payable in respect of the delivery of Program Materials to you.  Each of these costs will be set out in the Website or told to you over the telephone, or email prior to your purchase the Services.

    3. Save where specifically stated otherwise on the Website, all Fees shall be exclusive of any amounts payable to any professional body for registration and examination entry.  These are payable by you directly to the relevant professional body or examination board and we accept no responsibility or liability for your failure to book your exam with the relevant professional body or examination.

    4. Fees for the Service selected by you on the Website or purchased over the telephone, or email shall be debited from your credit / debit card at the time of purchase.  Fees must be paid in full prior to you attending any Taught Program or accessing any Online Program.

    5. Any fees charged by your debit or credit card provider in connection with your purchase of Services are for your own account and Bonita Nuttall shall not be responsible for these.

    6. You shall be responsible for all costs you incur in connection with your attendance at any Taught Programs or your access onto any Online Program.

  7. Liability

    1. No part of the provision of the Services shall be deemed to be, nor is it intended to be, nor should it be taken to be, the provision of investment advice.

    2. Although Bonita Nuttall aims to provide the Services to the highest standards of the industry, neither it, nor its trainers accept any liability for (i) any inaccuracy or misleading information provided in the programmes or Program Materials and any reliance by Client on any such information, (ii) any loss or corruption of data, (iii) any loss of profit, revenue or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of the terms of this Agreement.

    3. Except to the extent that they are expressly set out in these terms and conditions, no conditions, warranties or other terms shall apply to the Services.  Subject to clause 6.5 no implied conditions, warranties or other terms apply (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description).

    4. Subject to clause 7.5 below, Bonita Nuttall’s total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the delivery of the Service (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Fees received by us in connection with the relevant Online Program or Taught Program in relation to which a dispute has arisen.

    5. Nothing in this Agreement shall exclude or limit Bonita Nuttall’s liability for (i) death or personal injury caused by negligence, (ii) fraudulent misrepresentation or (iii) any other matter which under English law may not be limited or excluded.

    6. No claim may be brought more than three months after the last date on which the Services concerned have finished or ceased to be provided by us.

  8. Intellectual Property

    1. All Intellectual Property Rights in the Program Materials, Online Programs and the speeches made by trainers at the Taught Programs are, and remain, the intellectual property of Bonita Nuttall or its licensors, whether adapted, written for or customised for the Client or not.

    2. You are not authorised to:

      1. copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Program Materials without prior written permission;

      2. record on video or audio tape, relay by videophone or other means the Online Program or Taught Program given

      3. use the Program Materials in the provision of any other course or training whether given by us or any third party trainer;

      4. remove any copyright or other notice of Bonita Nuttall on the Program Materials;

      5. modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Programs.Breach by you of this clause 7.2 shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Services, including but not limited to access to the Online Programs.

    3. In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the Program Materials and the software in respect of the Online Program for the sole purpose of completing the Online Program and / or attending the Taught Program.

  9. Confidentiality

    1. Each party shall keep the other party’s Confidential Information strictly confidential and not use it otherwise than for the purposes of these terms and conditions, and shall return it on demand and not retain copies of it.

    2. Either party may disclose Confidential Information to its legal and other advisors for the purposes of obtaining advice from them.

    3. This clause shall continue notwithstanding termination of these terms and conditions.
       

  10. ​​Termination

    1. We shall be entitled to terminate these terms and conditions and cease to provide you with any Services with immediate effect in the event that you:

    2. fail to pay when due your Fees;

    3. act in an aggressive, bullying, offensive, threatening or harassing manner towards any employee of Bonita Nuttall, any teacher or lecturer who provides the Taught Programs or any student who attends any Taught Program;

    4. cheat or plagiarise any work which you are required to prepare or submit in connection with the Services or during any examination taken in connection with the Services;

    5. steal or act in fraudulent or deceitful manner towards us or our employees or any other students who may be on our premises or attending our Taught Programs;

      1. e.    intentionally or recklessly damage our property or the property of our employees or other students attending our premises;

      2. are intoxicated through alcohol or illegal drugs while on our premises;

      3. commit any criminal offence committed on our premises or where the victim is our employee or student;

      4. are in breach of these terms and conditions.

      5. On termination clause 7 (liability), 8 (intellectual property rights), and 9 (confidentiality) shall continue notwithstanding such termination.​

  11. Assignment

    1. Any Services provided by us under these terms and conditions are personal to you and cannot be transferred or assigned to any other person.

    2. We shall be entitled to assign these terms and conditions to any other company without prior notice to you.​

    3. By purchasing our Services or Products, you acknowledge and agree to this no refund policy.
      ​

  12. Entire Agreement

    1. These terms and conditions, together with the Privacy Policy and Program Specific Terms and Conditions are the entire agreement between the parties and supersede any prior agreements and arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these and any other terms and conditions with us.  Nothing in this clause or terms and conditions shall limit liability for any fraudulent misrepresentation.

  13. Force Majeure

    1. Bonita Nuttall shall not be liable to you for any breach of its obligations or termination under these terms and conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes and other Acts of God, terrorism, strikes, delay caused by transport disputes, failure to provide a program caused by a death in the trainer’s family, illness of the trainer, Government edict or regulation.

  14. Assignment

    1. We may assign, transfer, sub-contract any of our rights or obligations to any third party at our discretion.​
       

  15. Data Protection

    1. The nature of the Services provided by us means that we will obtain, use and disclose (together "Use") certain information about you ("Data"). This statement sets out the principles governing our Privacy Policy. By purchasing the Services you agree to this Use.

    2. When you register with us you will need to provide certain Data such as your contact details and demographic information. We will store this Data and use it to contact you, provide you with details of the Services you have purchased and otherwise as required during the normal provision of the course.

    3. We may also use the above Data, and similar Data you provide us in response to surveys, to aggregate user profiles and, unless you click on the relevant button on the Registration Form, provide you with communications. We will not pass any personal data onto anyone outside of Bonita Nuttall.

    4. To enable us to monitor and improve our Services, we gather certain aggregated information about you, including details of your operating system, browser version, domain name and IP address, the URL you came from and go to and the parts of the Website you visit.

    5. We use information such as your User ID, session identifiers and password to enable us to identify whether you are using our services, assist with the provision of services and to ensure that you have access to relevant products. We will only read cookies from your cookie file placed there through your web browser's interaction with the Website.

    6. Our products may link to third party websites and we are not responsible for their data policies or procedures or their content.

    7. Bonita Nuttall endeavour to take all reasonable steps to protect your personal Data including the use of encryption technology, but cannot guarantee the security of any Data you disclose. You accept the inherent security implications of being and transacting on-line over the internet and will not hold us responsible for any breach of security.

    8. Bonita Nuttall may supplement the information that you provide with information we receive from third parties, such as exam registration bodies or your employer.

SPECIFIC SERVICES AND TERMS OF USE

​

  1. Coaching and Mentoring

    1. Coaching and mentoring services are designed to support clients in achieving their personal and professional goals. These services may include one-on-one sessions, group coaching, and other customized programs.

    2. Booking and Payment

      1. A non-refundable deposit of 50% is required at the time of booking to secure the service.

      2. The remaining balance is due within 7 days before the first session or as otherwise agreed in writing.

    3. Cancellation and Rescheduling Policy

      1. Clients must provide at least 48 hours’ notice to cancel or reschedule a session without penalty.

      2. Cancellations made less than 48 hours’ before the scheduled session will incur a full charge for the session.

    4. No-Show Policy: 

      1. If a client does not show up for a scheduled session without prior notice, the full session fee will be charged.

    5. Refund Policy: 

      1. Deposits are non-refundable. 

        1. If a coaching package is cancelled early, refunds for unused sessions may be available under really special circumstances, but once coaching commences, generally, program costs are non-refundable.

    6. Confidentiality:

      1. All information shared during coaching sessions will be kept confidential, except where disclosure is required by law.

      2. Bonita has a  who oversees her professional development and may assist with any ethical or methodological support required during coaching programs, but all information will remain confidential within this space.
         

  2. ​Training and Facilitation (Workshops)

    1. Training and facilitation services include workshops, seminars, and other group training sessions designed to improve skills, knowledge, and performance.

    2. Booking and Payment

      1. A non-refundable deposit of 50% is required upon booking.

      2. The remaining balance is due no later than 14 days before the scheduled workshop date.

    3. Cancellation and Rescheduling Policy

      1. Client must provide at least 30 days’ notice to cancel a workshop without incurring significant penalties.

      2. Clients must provide at least 14 days’ notice to reschedule a workshop without incurring significant penalties.

      3. Cancellations made between 7 to 13 days before the workshop will incur at least 50% charge of the total fee, including any catering, venue or other hard costs already paid for.

      4. Cancellations made less than 7 days before the workshop will result in a charge of 100% of the total fee.

    4. Participant Substitution

      1. Clients may substitute participants in workshops without penalty, provided that notice is given at least 24-hours before the event.

    5. Intellectual Property

      1. All materials and content provided during workshops remain the intellectual property of Bonita Nuttall. Clients are granted a limited, non-exclusive, non-transferable license to use these materials for personal use only.
         

  3. Creative Director (Events and Conferences)

    1. Services Provided

      1. Creative Director services include overseeing the planning, design, and execution of events and conference elements, including (but not limited to) workshops, activations, social media engagement and audience experiences to ensure they align with the client’s vision and objectives.

    2. Booking and Payment Policy

      1. ​​A complimentary initial consultation will be conducted to understand the client’s vision, objectives, and requirements for the event. Following the consultation, a detailed proposal and quote will be provided.

      2. To secure the booking, the client must sign the proposal and return it along with a non-refundable booking deposit of 50% of the total service fee. This deposit confirms the engagement and allows preliminary work to begin.

      3. An additional 25% of the total service fee is due upon completion of an agreed upon key milestone, such as the finalisation of the event concept or design phase. This milestone will be outlined in the project plan.

      4. The remaining 25% of the total service fee is due no later than 7 days prior to the event date. 

      5. If the event is booked on short notice (less than 30 days before the event), the full payment is required at the time of booking.

    3. Additional Services and Expenses

      1. Any requests for additional services or changes to the project scope that arise after the booking has been confirmed will be subject to additional charges. These will be discussed and agreed upon in writing before the work commences.

      2. Any out-of-pocket expenses incurred by the Creative Director on behalf of the client, such as travel, accommodation, or materials, will be invoiced separately and are payable within 7 days of receipt of the invoice.

    4. Payment Methods

      1. Payments can be made via bank transfer, credit card, or any other agreed-upon method. Details will be provided in the invoice.

      2. Late payments will incur a late fee of 2% of the outstanding balance per month until paid in full.

    5. Non-Payment

      1. If the client fails to make a payment by the specified deadlines, the Creative Director reserves the right to suspend or terminate services until full payment is received. In such cases, any work completed up to the point of suspension will remain the property of the Creative Director until payment is made.

      2. The client may also be liable for any legal or collection fees incurred in recovering the outstanding amounts.

    6. Cancellation Policy

      1. Clients who cancel with more than 45 days’ notice will receive a refund of any payments made, minus a 20% service fee to cover preliminary work and administrative costs.

      2. Cancellations made between 30 to 44 days before the event will incur a cancellation fee of 50% of the total service fee.

      3. Cancellations made between 15 to 29 days before the event will result in a charge of 75% of the total service fee.

      4. Cancellations made less than 15 days before the event will result in a charge of 100% of the total service fee.

    7. Rescheduling Policy

      1. Rescheduling requests made with at least 45 days’ notice can be accommodated without additional fees, subject to availability. Any work completed up to the rescheduled date will be credited towards the new date.

      2. Rescheduling requests made between 30 to 44 days before the event may incur a rescheduling fee equivalent to 20% of the total service fee.

      3. Rescheduling requests made less than 30 days before the event will incur a 50% rescheduling fee of the total service fee. If rescheduling is not feasible due to the short notice, the cancellation policy will apply.

    8. Refunds and Credit

      1. In cases where a rescheduled date cannot be agreed upon, any amounts paid, minus applicable fees, may be credited towards future services within 12 months from the original event date.

    9. Client Responsibilities

      1. The client is responsible for providing timely access to required resources, materials, and personnel to ensure the success of the event. Failure to do so may impact the outcome, for which Bonita Nuttall cannot be held liable.

    10. Limitation of Liability

    11. Bonita Nuttall will not be responsible for the overall success of the event if the client or other stakeholders fail to follow the agreed-upon plan or do not show up for scheduled meetings and rehearsals.
       

  4. Professional Speaker

    1. Services Provided

      1. Professional speaking services include keynote speeches, presentations, and other speaking engagements designed to inspire, inform, and engage audiences.

    2. Booking and Payment

      1. A 50% non-refundable deposit is required upon booking.

      2. The remaining balance is due before the day of the event.

    3. Cancellation Policy

      1. Clients must provide at least 30 days’ notice to cancel without incurring significant penalties.

      2. Cancellations made between 15 to 29 days before the event will incur a 50% charge of the total fee.

      3. Cancellations made less than 15 days before the event will result in a charge of 100% of the total fee.

    4. Client Responsibilities

      1. The client is responsible for providing all necessary logistical support, including A/V equipment, venue access, and any required materials. 

      2. Delays or issues caused by the client may impact the performance, for which Bonita Nuttall cannot be held liable.
         

  5. Master of Ceremonies (MC)

    1. Services Provided

      1. MC services include hosting, facilitating, and ensuring the smooth flow of events, conferences, and ceremonies.

    2. Booking and Payment

      1. A 50% non-refundable deposit is required upon booking.

      2. The remaining balance is due before the start of the event.

    3. Cancellation Policy

      1. Clients must provide at least 30 days’ notice to cancel without incurring significant penalties.

      2. Cancellations made between 15 to 29 days before the event will incur a 50% charge of the total fee.

      3. Cancellations made less than 15 days before the event will result in a charge of 100% of the total fee.

    4. Rescheduling

      1. Rescheduling of MC services is subject to availability and may incur additional fees if not requested with at least 30 days’ notice.

    5. Limitation of Liability

      1. Bonita Nuttall will deliver the highest level of service possible; however, she cannot be held responsible for the overall success of the event if there are issues outside of her control, such as technical failures, venue issues, or natural disasters.
         

  6. Amendments

    1. Bonita Nuttall reserves the right to amend these terms and conditions at any time. Any changes will be posted on the website and will take effect immediately. 

    2. Clients are encouraged to review the terms regularly to stay informed of any updates.

  7. Law and Jurisdiction

    1. This Agreement is subject to Australian law and the parties submit to the exclusive jurisdiction of the Australian courts in connection with any dispute hereunder.
